Terms of Service
The terms that govern your use of the Diagramy architecture workspace and related websites.

Agreement
These Terms of Service (“Terms”) are a binding agreement between you and Diagramy, Inc. (“Diagramy,” “we,” “us,” or “our”) governing access to and use of Diagramy at https://diagramy.io, the application at app.diagramy.io, and related services (collectively, the “Service”).
By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you purchase a paid plan, you also agree to our Payment & Billing Policy and Refund Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
The Service
Diagramy provides a collaborative workspace for modelling, reviewing, and governing software architecture. Features, plans, and limits are described on our pricing page and may change over time. We may update, suspend, or discontinue parts of the Service with reasonable notice when practicable.
Accounts
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access.
You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the Service.
Your content
You retain ownership of architecture models, diagrams, comments, and other content you submit (“Customer Content”). You grant Diagramy a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely as needed to operate and improve the Service for you and your workspace collaborators.
You are responsible for Customer Content and for ensuring you have the rights to submit it. Do not upload content that infringes others’ rights or violates applicable law.
Acceptable use
You agree not to:
- Use the Service for unlawful, harmful, or fraudulent purposes
- Probe, scan, or attack the Service, or circumvent access controls
- Interfere with or disrupt the Service or other users
- Resell, sublicense, or provide the Service to third parties except as allowed by your plan
- Reverse engineer the Service except where applicable law permits
- Use the Service to store or transmit malware or abusive content
Plans, billing, and cancellation
Diagramy offers Free and paid subscription plans (currently Pro and Team). Plan features, prices, and limits are described on our pricing page and may change over time. Paid plans renew automatically until canceled.
Merchant of Record. Paid subscriptions are sold by Paddle.com Market Ltd. (“Paddle”), who acts as Merchant of Record. Paddle processes payments, taxes, invoices, and billing support. By purchasing, you also agree to Paddle’s Buyer Terms and Privacy Policy. Details are in our Payment & Billing Policy.
Trials. Team includes a 14-day free trial. A payment method is required to start; you are not charged until day 15 if the trial converts. Cancel before the trial ends and you will not be billed for that trial.
Fees and seats. Fees are billed in advance for the plan and seat count you select. Team seats include every workspace member who can open or review an architecture. Taxes may be added at checkout by Paddle based on your location.
Changes and cancellation. Upgrades generally apply immediately (often with proration). Downgrades and cancellations take effect at the end of the current billing period unless stated otherwise in the billing portal. You may cancel anytime; you retain paid access through the period already paid for. After Team cancellation, members are not removed automatically but may become read-only under Free plan rules.
Refunds. Fees are generally non-refundable except where required by law or as described in our Refund Policy. We may change prices with notice; continued use after a price change takes effect constitutes acceptance for subsequent periods.
Intellectual property
The Service, including software, branding, documentation, and design, is owned by Diagramy, Inc. and its licensors. These Terms do not grant you any rights to our trademarks or branding except as needed to identify your use of the Service.
Third-party services
The Service may integrate with third-party products (for example authentication providers and Paddle for payments). Your use of those products is subject to their terms and privacy policies. We are not responsible for third-party services we do not control, except as required by law regarding our own Service.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIAGRAMY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIAGRAMY AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE NOT PAID ANY FEES.
Indemnity
You will defend and indemnify Diagramy against claims, damages, and expenses arising from your Customer Content, your use of the Service, or your violation of these Terms, except to the extent caused by our willful misconduct.
Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk for the Service or other users, or fail to pay fees when due. Upon termination, your right to use the Service ends. Provisions that by their nature should survive will survive, including ownership, disclaimers, and limitations of liability.
Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, except where mandatory local consumer protections apply. Courts in Delaware will have exclusive jurisdiction, subject to those mandatory protections.
Changes
We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
